Terms of Service

Effective date: July 10, 2026

These Terms of Service ("Terms") govern access to and use of Cadix, including our website at cadix.app, our application, and related services (the "Service"). The Service is provided by Cadix Digital Solutions, LLC ("Cadix," "we," "us," or "our").

By creating an account, accessing the Service, or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "Customer" or "you" refers to that organization.

This draft is a starting point. It should be reviewed by counsel before publication.

1. The Service

Cadix is an operations-focused document and workflow management product. It helps organizations manage documentation governance, internal workflows, document review, assignments, comments, metadata, audit history, and operational visibility.

We may update, modify, or improve the Service over time, provided we do not materially reduce core functionality during an active subscription term without a reasonable replacement or notice.

2. Accounts and authorized users

You are responsible for:

  • Ensuring account information is accurate and current.
  • Maintaining the confidentiality of login credentials.
  • All activity under your account and workspaces.
  • Ensuring authorized users comply with these Terms.
  • Promptly notifying us of suspected unauthorized access.

You may allow only authorized users to access the Service. You may not share individual user credentials.

3. Customer content

"Customer Content" means documents, comments, metadata, assignments, workflow records, files, text, data, and other materials submitted to or created in the Service by you or your authorized users.

As between you and Cadix, you retain ownership of Customer Content. You grant Cadix a limited right to host, process, transmit, display, and use Customer Content only as needed to provide, secure, support, maintain, and improve the Service; comply with law; and enforce these Terms.

You are responsible for Customer Content, including its accuracy, legality, permissions, retention requirements, and use by authorized users.

4. Customer responsibilities

You agree that you will not, and will not permit users to:

  • Use the Service unlawfully or in violation of these Terms.
  • Upload or process content that you do not have the right to use.
  • Interfere with or disrupt the Service.
  • Attempt to gain unauthorized access to the Service or related systems.
  • Reverse engineer, decompile, or attempt to extract source code except where allowed by law.
  • Use the Service to transmit malware, harmful code, or abusive content.
  • Bypass usage limits, security controls, or access restrictions.
  • Use the Service to build a competing product, except where this restriction is prohibited by law.
  • Remove proprietary notices.

You are responsible for configuring workspace permissions, user roles, integrations, retention settings, and access controls according to your organization's requirements.

5. Sensitive and regulated data

Cadix is designed for operational documentation and workflow management. Unless we separately agree in writing, you may not use the Service to process information subject to special regulatory requirements that Cadix has not agreed to support, such as protected health information under HIPAA, payment card data subject to PCI DSS, classified information, or export-controlled technical data.

You should not submit sensitive personal information unless your agreement, configuration, and applicable legal obligations allow it.

6. Subscriptions, fees, and payment

If you purchase a paid subscription, you agree to pay all fees described in the applicable order, checkout flow, invoice, or agreement.

Unless stated otherwise:

  • Fees are due in advance.
  • Fees are non-refundable except as required by law or expressly stated in writing.
  • You are responsible for taxes, excluding taxes based on our net income.
  • Late payments may result in suspension or termination.
  • Subscription terms renew automatically unless canceled according to the applicable order or account settings.

If pricing or payment terms are governed by a separate written agreement, that agreement controls.

7. Trials and beta features

We may offer trials, previews, or beta features. These are provided for evaluation, may change or end at any time, and may be subject to additional terms. Beta features may be less reliable than generally available features.

8. Integrations and third-party services

The Service may allow you to connect third-party services. If you enable an integration, you authorize Cadix to exchange information with that service as needed to provide the integration.

Third-party services are not controlled by Cadix. We are not responsible for third-party services, their content, or their practices. Your use of third-party services is governed by their own terms and policies.

9. Security

Cadix will use reasonable administrative, technical, and organizational safeguards designed to protect Customer Content and accounts. You are responsible for using the Service securely, including managing authorized users, permissions, devices, credentials, and integrations.

You must promptly notify us at support@cadix.app if you believe there has been unauthorized access to your account or Customer Content.

10. Confidentiality

Each party may receive non-public information from the other party that is identified as confidential or should reasonably be understood to be confidential. The receiving party will use confidential information only to perform under these Terms and will protect it using reasonable care.

Confidentiality obligations do not apply to information that is publicly available without breach, already known without restriction, independently developed, or lawfully received from a third party.

11. Intellectual property

Cadix and its licensors retain all rights, title, and interest in the Service, software, design, technology, documentation, trademarks, and related intellectual property.

You may provide feedback or suggestions. We may use feedback without restriction or obligation to you.

12. Privacy

Our Privacy Policy explains how we collect, use, disclose, and protect personal information. By using the Service, you agree that we may process personal information as described in the Privacy Policy and any applicable data processing agreement. Click Here to view Privacy Policy.

13. Service availability and support

We will use commercially reasonable efforts to make the Service available and provide support according to the applicable plan, documentation, or written agreement.

The Service may be unavailable due to maintenance, updates, security work, outages, third-party failures, or events beyond our control.

14. Suspension

We may suspend access to the Service if:

  • You fail to pay amounts due.
  • Your use creates security, legal, or operational risk.
  • You violate these Terms.
  • Suspension is required by law or a third-party service provider.

Where reasonable, we will provide notice and an opportunity to resolve the issue.

15. Termination

You may stop using the Service at any time. Subscription cancellation and termination rights are governed by the applicable order, account settings, or written agreement.

We may terminate these Terms or your access to the Service if you materially breach these Terms and do not cure the breach within a reasonable period after notice, or immediately if the breach cannot be cured or creates significant risk.

Upon termination, your right to use the Service ends. We may delete Customer Content after termination according to our data retention practices, the applicable order, or written agreement.

16. Disclaimers

Except as expressly stated in these Terms or a separate written agreement, the Service is provided "as is" and "as available." To the maximum extent permitted by law, Cadix disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Cadix does not warrant that the Service will be uninterrupted, error-free, secure, or meet every customer requirement.

17. Limitation of liability

To the maximum extent permitted by law, Cadix will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, or business opportunities.

To the maximum extent permitted by law, Cadix's total liability for all claims arising out of or relating to the Service or these Terms will not exceed the amounts paid by Customer to Cadix for the Service during the six months before the event giving rise to liability, or $100, whichever is greater.

Some jurisdictions do not allow certain limitations, so some limitations may not apply.

18. Indemnification

You will defend, indemnify, and hold harmless Cadix from claims, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from:

  • Customer Content.
  • Your use of the Service in violation of these Terms or law.
  • Your violation of third-party rights.
  • Your users' acts or omissions.

Cadix will promptly notify you of a claim and reasonably cooperate in the defense. You may not settle a claim in a way that imposes obligations on Cadix without our written consent.

19. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict of law rules.

The parties agree to resolve disputes in the state or federal courts located in Jefferson County, Kentucky, unless a separate written agreement states otherwise. Each party consents to the jurisdiction and venue of those courts.

20. Changes to these Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice by posting the updated Terms, sending email, or notifying users through the Service.

Updated Terms will apply after the effective date stated in the notice, except that changes will not materially reduce active subscription rights during the then-current subscription term unless required by law or agreed in writing.

We may send notices to the email address associated with your account, through the Service, or by other legally permitted methods.

22. General terms

You may not assign these Terms without our prior written consent, except to a successor in connection with a merger, acquisition, reorganization, or sale of substantially all assets. We may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets.

If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. These Terms, together with any applicable order, privacy policy, data processing agreement, or written agreement, are the entire agreement between the parties regarding the Service.
